Seller terms
Effective from the date the marketplace is launched on allikasilm.ee.
These terms are an agreement between ALTRIX OÜ and the Seller who sells its own goods on allikasilm.ee. It is a commission agency agreement (komisjonileping, Võlaõigusseadus §§ 692–702): ALTRIX sells your goods in its own name but on your account and receives a commission (komisjonitasu) for doing so. In all other respects the provisions on mandate agreements apply (VÕS § 692 lg 2) and, as the cooperation is ongoing, also VÕS §§ 671, 672, 678, 681, 682 and 686–689 (VÕS § 692 lg 3).
1. Parties and definitions
- ALTRIX means ALTRIX OÜ, registry code 12098748, KMKR number EE101447326, Pikk tn 78-21, 50603 Tartu linn, Tartu maakond, Eesti. Email: info@allikasilm.ee. ALTRIX operates the ALLIKASILM shop (allikasilm.ee).
- Seller means a FIE or a company that has accepted these terms and whose account ALTRIX has approved.
- Buyer means a person who buys goods on allikasilm.ee.
- Goods means plants, seeds and other goods of the Seller that ALTRIX has allowed to be listed.
- Seller Account means the Seller’s personal account on allikasilm.ee.
- Completed order means an order whose goods the Buyer has received and which has been given the status “Completed”.
- Sales and Payout Statement (et “Müügi- ja väljamakse aruanne”) means the document that the system generates in the Seller Account for each payout (section 8).
- Marketplace Rules means the document “Marketplace rules and prohibited goods”. It forms part of these terms.
2. How sales work
- ALTRIX sells the Seller’s Goods to the Buyer in its own name and on the Seller’s account. For the Buyer, the contractual seller is ALTRIX OÜ.
- The Goods belong to the Seller until they are sold. Upon sale, ownership passes to the Buyer.
- The Seller bears the risk of deterioration and loss of the Goods until they are handed over to the carrier.
- ALTRIX accepts payment from the Buyer, is liable to the Buyer as required by law (14-day right of withdrawal, 2-year period for quality claims) and then settles with the Seller under section 8.
- On the product page the Buyer sees that the contractual seller is ALTRIX OÜ and that the goods were grown and are shipped by a partner (the Seller’s name or farm name and the town of dispatch). The Seller’s contact details are not shown to the Buyer.
3. Who can become a Seller
- Only a FIE or a company (OÜ, AS, etc.) entered in the Estonian Commercial Register (äriregister) or an equivalent register of its own EU country may be a Seller. Unregistered private individuals cannot be Sellers.
- Live plants may only be sold by a Seller that is entered in the PTA plant health register (taimetervise register) and holds a PTA authorisation to issue plant passports (section 5).
- When registering, the Seller provides:
- the company name or the name of the FIE, and the registry code;
- the registered address;
- an IBAN opened in the Seller’s name;
- the KMKR number, if the Seller is VAT-registered;
- for live plants, the registration number in the PTA register (EE-…) and proof of the authorisation to issue plant passports for the genera it sells.
- The Seller confirms that the data are correct and notifies any changes within 7 days.
- ALTRIX reviews the application and approves or declines the account. ALTRIX states the reason for declining. Goods are not published until the account is approved.
- If the Seller does not provide the data required for DAC7 reporting after two reminders, ALTRIX may close the account or withhold payouts until the data are received, but not earlier than 60 days after the first request (Maksualase teabevahetuse seadus § 8 lg 1¹).
4. Goods and product pages
- The Seller adds Goods in the Seller Account: name, Latin name (for plants), description, size and pot, real photos, price and stock. At least one real photo is required.
- Each new product and each change is reviewed. Statuses: “Under review” → “Published” or “Declined” with the reason stated. A declined product may be corrected and sent for review again.
- Texts, photos and names must not contain phone numbers, email addresses, links, social media or the name of the Seller’s own shop with an invitation to buy directly. The system hides such data automatically (contact filter).
- The description must be honest: photos must show the same plant or the same batch, and the size must be the size at the time of sale.
- Prohibited goods are listed in the Marketplace Rules. Plant protection products (taimekaitsevahendid) — pesticides, fungicides, insecticides, herbicides, including “bio” products — may not be sold: selling them requires registration and authorisations (Taimekaitseseadus). Fertilisers, soils, pots and tools may be sold.
- The Seller writes the product texts (name, description) itself: in Estonian, which is mandatory, and in the other site languages (ru, en, fi, lv, lt), which is optional. ALTRIX does not translate the Seller’s texts. Where there is no text in the Buyer’s language, the Buyer sees the Estonian text. ALTRIX may correct the formatting without changing the substance. The Seller is responsible for the content of the texts in all languages.
- Photos and texts remain yours. You grant ALTRIX a free non-exclusive licence to use them during the agreement and for 6 months after it: to show them on the site and in the channels listed in section 14.3, to resize and crop photos and to correct the formatting of texts. You confirm that you hold the rights to these photos and texts.
- For soils, fertilisers, pots and tools the seller states in the listing the manufacturer (name and address), the EU responsible person if the manufacturer is outside the EU, and all warnings from the label in Estonian. The seller sells only safe products labelled as required by law. If a product turns out to be dangerous or is recalled by the manufacturer, the seller immediately withdraws it from sale and informs ALTRIX within 1 working day. ALTRIX informs buyers and authorities (Regulation (EU) 2023/988).
5. Live plants and seeds
- Live plants for planting sold online are shipped only with a plant passport (Regulation (EU) 2016/2031, Art. 81(1)(a)). The exemption “no passport is needed for the final user” does not apply to online sales.
- Live plants may only be sold with the Seller’s own plant passport. The Seller is entered in the PTA register, holds a PTA authorisation to issue passports (Articles 84 and 89 of Regulation 2016/2031) and itself attaches a passport to each trade unit. There is no other way.
- Host plants of fireblight (Malus, Pyrus, Sorbus, Crataegus, Cotoneaster, Amelanchier, Chaenomeles, Cydonia, Pyracantha, Mespilus, Eriobotrya, Photinia davidiana) require a protected zone passport with the code ERWIAM and a mandatory traceability code (C): Estonia, Latvia, Lithuania and Finland are protected zones for this pest (PTA guidance “Taimepassi vormi ja sisu nõuded”, 2026; Regulation 2016/2031, Art. 83(2) and (4)).
- Seeds are accepted only in the packaging of a registered operator, being a producer or packer entered in the register of PTA or of the equivalent authority of another EU country, labelled in accordance with seed legislation. ALTRIX does not accept home-saved seeds from anyone, including heritage and local varieties (TPSKS § 4¹).
- Without PTA registration the Seller may sell:
- garden goods that are not plants (pots, tools, covering material, etc.);
- sealed, industrially packed packets of vegetable seeds, if the species is not on the list of seeds requiring a plant passport (see the Plant passport guide, section 7). Reselling sealed packets is not packing, and no notification under TPSKS § 95 is required for it;
- other goods, subject to agreement with ALTRIX.
- Seeds of ornamental (flowering) plants may only be sold by a Seller that has submitted a notification to PTA (Taimede paljundamise ja sordikaitse seadus § 4 lg 1, § 63 lg 2).
- Seeds that the Seller packs itself may only be sold by a Seller that has submitted to PTA a notification of seed packing (TPSKS § 95 lg 2): only purchased seeds of registered varieties, labelled and in packages of the prescribed size.
- Seeds of species on the list requiring a plant passport (tomato, pepper, bean, pea, onion, leek, sunflower, etc. — Plant passport guide, section 7) are shipped in online sales only with a plant passport (Regulation 2016/2031, Art. 79(1)(d) and Art. 81(1)(a)). The producer’s passport on the packet is sufficient. Such seeds may only be sold by a Seller entered in the PTA register (Taimekaitseseadus § 31 lg 1 p 2).
- If PTA suspends or revokes the Seller’s registration or authorisation, the Seller immediately notifies ALTRIX and stops shipping plants.
6. Prices and discounts
- In the Seller Account the Seller enters either the amount it wishes to receive or the price for the Buyer. The Seller Account shows both amounts: the price on the site and “you receive”.
- Prices on the site are stated in euros including VAT. VAT on the sale is paid by ALTRIX.
- A price change takes effect after review. For orders already paid, the price at the time of the order applies.
- The Seller arranges discounts itself and at its own expense: in the Seller Account it creates a discount on its Goods or a discounted selection (collection). The commission and the payout are calculated on the discounted price.
- ALTRIX does not include Sellers’ Goods in general site promotions on its own initiative and does not reduce their prices without the Seller’s consent.
7. Orders and shipping
- The Seller is notified of a new order in the Seller Account and by email.
- The Seller ships the order within 2 working days of the notification, unless a different period is stated on the product page.
- Delivery: each of the Seller’s parcels is shipped separately. The Buyer pays for delivery at the site rates for each parcel: goods from two Sellers mean two parcels and two delivery charges. In the cart, delivery is shown separately for each Seller.
- By default the parcel is shipped with an ALTRIX label. The Seller orders the label in the Seller Account for the order; ALTRIX creates it manually under its contract with the carrier and emails it to the Seller. The label is free for the Seller: ALTRIX pays for the carriage, and the Buyer’s delivery charge for that parcel remains with ALTRIX.
- Own carrier. The Seller may ship the parcel under its own contract with a carrier (Omniva, Venipak or DPD): it ships without an ALTRIX label, enters the carrier and the tracking number for the order in the Seller Account and marks the parcel as shipped. In that case the Buyer’s delivery charge for that parcel goes in full to the Seller as part of the payout, without commission: a Seller with a KMKR receives it including VAT, as part of the self-billing invoice; a Seller without a KMKR receives it excluding VAT, as with the price of the Goods: ALTRIX pays VAT on the full delivery amount (Käibemaksuseadus § 12 lg 1 and lg 6¹). The charge is due to the Seller only once the parcel is marked as shipped; if the order is cancelled or refunded, the usual refund rules apply.
- The free delivery threshold is the same as on the site and is calculated separately for each of the Seller’s parcels: the total of its Goods in the order. If the threshold is reached, the Buyer pays nothing for that parcel; with its own carrier the Seller ships it at its own expense.
- Example. A Buyer buys Goods from the Seller for 30 € and pays 2,99 € for parcel locker delivery. With an ALTRIX label the Seller receives 27,00 € for the Goods (90% of 30 €; a Seller without a KMKR 21,77 €, 90% of 24,19 € excluding VAT), the delivery charge remains with ALTRIX and the Seller pays nothing for the label. With its own carrier the Seller additionally receives 2,99 € for delivery (a Seller without a KMKR 2,41 €, 2,99 € excluding VAT).
- The Seller always ships the parcel on behalf of ALTRIX: delivery is part of ALTRIX’s sale to the Buyer, and ALTRIX arranges the carriage (under its own contract or through the Seller).
- Parcel lost or damaged in transit. If the packaging complied with ALTRIX’s rules, ALTRIX settles the matter with the Buyer and the Seller receives a payout as for a completed order. If the parcel was shipped under the Seller’s contract, the Seller, at ALTRIX’s request, makes a claim against its carrier and passes any compensation received to ALTRIX. If the cause lies in the packaging, section 10 applies.
- In the Seller Account the Seller does not see the Buyer’s email address or phone number. It sees only what is needed for the label (name, parcel locker or address). The recipient’s phone number is passed to the carrier when the label is created, and the carriers (Omniva, Venipak, DPD) print it on the label; the Seller sees it only there and uses it only for that shipment (section 12).
- A tracking number is mandatory for each parcel. A parcel without a tracking number is deemed not shipped.
- Live plants are shipped from Monday to Wednesday. At temperatures below −5 °C, plant shipments are postponed until it gets warmer, as stated in the site’s delivery terms; ALTRIX informs the Buyer of this.
- Packaging must follow ALTRIX’s packaging rules. The parcel must not contain the Seller’s business cards, leaflets, contact details or advertising. The plant passport, a care sheet and materials provided by ALTRIX may be enclosed.
- If the Seller cannot fulfil an order (out of stock, plant damaged), it immediately reports this in the Seller Account. ALTRIX cancels the order and refunds the Buyer.
- Frequent cancellations and delays may lead to restrictions on the account (section 13). They do not affect the order of products on the site.
8. Commission, documents and payouts
- ALTRIX’s commission (komisjonitasu, VÕS § 692 lg 1) is 10% of the amount the Buyer paid for the Seller’s Goods. For VAT purposes the commission is not a separate service: ALTRIX sells in its own name and is therefore deemed to have purchased the Goods from the Seller and resold them to the Buyer. VAT is paid on the full sale price, and the Seller supplies the Goods to ALTRIX at a price equal to the payout (Käibemaksuseadus § 2 lg 5 and lg 11; Directive 2006/112/EC, Art. 14(2)(c); EMTA guidance “Vahendamisteenus”). There is no separate invoice for the commission.
- VAT-registered Seller (has a KMKR): the basis is the price including VAT. Commission 10%, payout 90% (including VAT at the Estonian rate).
- Seller not registered for VAT (FIE or company without a KMKR): the basis is the price excluding VAT. Commission 10% of the basis, payout 90% of the basis.
- Sellers’ Goods are sold with delivery within Estonia only. VAT on their sale is therefore always calculated at the Estonian rate.
- The commission is rounded to the nearest cent under the usual rules. Payout = basis − commission, so the commission and the payout together always equal the basis. An example for 100 € is given on the “Commission and payouts” page.
- Delivery is not part of the commission base: the customer’s delivery fee goes to the seller only if the seller shipped the parcel with their own carrier (section 7.3).
- 14-day holding period. The amount for an order becomes available for payout 14 days after the order is completed.
- Payouts are made once a week if the available amount is at least 20 €; a smaller amount is carried over to the following week. Payouts are made by bank transfer to the Seller’s IBAN.
- Paperless. The system generates the following documents in the Seller Account:
- “Müügi- ja väljamakse aruanne / Sales and Payout Statement”, for each payout, for all Sellers. A list of orders for the period: date, product, quantity, price, basis, commission, delivery charge, refunds, amount payable, details of the parties, document number. The commission is shown as a deduction under the commission agency agreement with the note “komisjonitasu ei ole eraldi käive (KMS § 2 lg 5)”. It is both the account of income and expenditure that ALTRIX is required by law to give the Seller (VÕS § 624 lg 2) and a source document for the accounts of both parties (Raamatupidamise seadus § 6 lg 2 and § 7: date, content of the transaction, quantity, price and amount; the law does not require a signature; if both parties are accounting entities, also the document number and the details of the parties, § 7 lg 3). The statement is issued in PDF and in a machine-readable file (§ 7 lg 5).
- for a VAT-registered Seller, a self-billing invoice (“Endale arve koostamine / Self-billing”): ALTRIX draws up an invoice on behalf of the Seller for the Seller’s sale to ALTRIX: the payout amount, including VAT (Käibemaksuseadus § 37 lg 5). The self-billing invoice is drawn up for each calendar month covering all orders shipped in that month and is issued by the 7th day of the following month (KMS § 11 lg 4, § 37 lg 1), regardless of the payout schedule. Cancellations and refunds after that are made by credit note (KMS § 37 lg 4). The invoice bears the note “Endale arve koostamine / Self-billing” (as worded by EMTA) and has a separate numbering sequence for each Seller; the particulars are as required by KMS § 37 lg 7.
- The Seller opens and downloads the documents in the Seller Account (PDF and machine-readable file) and confirms them once with the “I confirm” button. If the Seller neither confirms nor objects within 7 days, the documents are deemed accepted. EMTA expressly allows this procedure for accepting self-billing invoices (“Arve väljastamine”). An objection is examined and, if there is an error, a corrected document is created (for a self-billing invoice, a credit note, KMS § 37 lg 4).
- A Seller with a KMKR accepts the self-billing agreement in the Seller Account before the first self-billing invoice: a separate text, “Kokkulepe endale arve koostamiseks”, with the acceptance procedure set out in clause 10. ALTRIX keeps the text and version of the agreement and the date, time and sign-in method of the Seller and sends the Seller a copy in PDF by email. At the request of either party, the agreement is signed with a digital signature (VÕS § 672 via § 692 lg 3). A VAT-registered Seller reports the self-billing invoice in its VAT return (KMD) as its own sale.
- In the Seller Account the Seller may at any time open a “Paid out” statement for any period.
- Refunds to Buyers that occur after a payout are deducted from subsequent payouts. If future payouts are insufficient, the Seller pays the difference on ALTRIX’s invoice within 14 days.
- Payment provider fee. If the Buyer pays through a payment provider (currently Paysera: bank link, card or wallet), the share of its fee attributable to the Seller’s part of the order is deducted from the payout: order fee × (Seller’s part total including its delivery / order total), rounded to the cent. The order fee is calculated at the payment provider’s rates on the day of payment and stored with the order; currently bank link 0 %, card and wallet 1.25 %, bank transfer €0. This reimburses ALTRIX’s cost and is not ALTRIX’s commission; it is shown as a separate line in the statement and report. The payment provider does not return its fee on a refund, so the deducted share remains unless the refund is due to ALTRIX’s fault.
9. Taxes and reporting
- The Seller is itself responsible for its income tax and other taxes. ALTRIX does not withhold income tax from payouts for Goods: the law requires withholding on salaries, fees for work or services and certain other payments, but not on payment for goods: income from the sale of property (Tulumaksuseadus § 15) is expressly excluded from withholding (§ 41 p 13). If the Seller provides services to ALTRIX (for example, packing other sellers’ orders), this is arranged separately.
- ALTRIX reports data on the Seller and its sales to the Tax and Customs Board (EMTA) under the DAC7 rules (Maksualase teabevahetuse seadus §§ 20²⁰–20²⁹) by 31 January of the following year. A Seller is not included if it has fewer than 30 sales in the year and no more than 2000 € in total (§ 20²² lg 3 p 4). DAC7 also applies to a commission agency agreement: the Seller is registered on the platform and receives payment through it for goods sold (§ 20²⁰ lg 1, § 20²² lg 1). The amount reported is the payout after commission (§ 20²¹ lg 2). Before the data are sent to EMTA, the Seller can see them in the Seller Account (§ 20²⁵ lg 5). A FIE is reported as a natural person (name, personal identification code), and a company as a legal person (EMTA, “Küsimused ja vastused” on DAC7).
10. Liability to the Buyer and recourse
- ALTRIX is liable to the Buyer for: withdrawal within 14 days (where permitted by law), quality claims within 2 years, and damage in transit.
- The Seller reimburses ALTRIX’s costs (refund, replacement, return shipping) if the cause lies with the Seller: the Goods do not match the description, disease or pest, wrong variety, poor packaging, missing plant passport, late shipment.
- If the Buyer withdraws from the purchase without a quality claim (live plants are not taken back under the site rules), the sale is cancelled: no payout and no commission arise for those Goods. Return shipping is paid by the Buyer, as stated in the site’s returns terms; the Goods are returned to the Seller. The delivery charge to the Buyer that ALTRIX is required by law to refund to the Buyer is borne by the Seller only if the Seller received it (a parcel shipped with its own carrier, section 7.3): it is then deducted from the payout; for a parcel shipped with an ALTRIX label, ALTRIX refunds the delivery charge at its own expense. The deducted share of the payment provider fee remains (section 8.14).
- ALTRIX handles Buyer claims. The Seller responds to an ALTRIX request within 2 working days and provides photos and explanations.
- If ALTRIX incurs a fine or a claim from an authority (for example, PTA) because of the Seller’s Goods, the Seller reimburses it.
- ALTRIX’s liability to the Seller is limited to the amount of commission for the last 12 months. The limitation does not apply in the case of intent or gross negligence, or to harm to life or health (VÕS § 106 lg 2; § 42 lg 3 p 1).
- How to dispute a deduction or penalty. If ALTRIX reduces a payout because of a claim by a Buyer or an authority (sections 10.2–10.5) or charges a contractual penalty (section 11), the Seller receives an email stating what for, how much and on what basis. If the Seller disagrees, it replies to that email or writes to info@allikasilm.ee within 14 days and attaches evidence (photos, messages, waybill). ALTRIX reviews the objection and replies with reasons within 14 days. If the objection is justified, the amount is returned with the next payout. The complaint-handling procedure of the Marketplace rules (section 5) applies; the right to go to court (section 16) remains.
11. Marketplace customers and contacts
- Buyers who came through allikasilm.ee are marketplace customers.
- The Seller does not contact them directly, does not offer them purchases bypassing the site and does not use their data for its own sales or advertising, during the term of the agreement and for 24 months after its termination.
- For each breach the Seller pays a contractual penalty (leppetrahv) of 500 € (VÕS § 158). In standard terms an unreasonably high penalty is deemed unfair (VÕS § 42 lg 3 p 5). The penalty does not preclude compensation for damage exceeding it. A court may reduce an excessively high penalty (VÕS § 162).
- If a Buyer found the Seller outside the site on their own, this is not a breach, provided the Seller did not use the order data.
12. Protection of Buyers’ data
- For shipping, ALTRIX passes to the Seller only the necessary Buyer data (name, pick-up point or address, order number). The Buyer’s phone number and email address are not shown in the Seller Account. The carrier prints the recipient’s phone number on the label; the Seller does not record it and does not use it for anything other than that shipment. ALTRIX is the controller of these data and the Seller is the processor (Art. 28 GDPR).
- The Seller:
- uses the data only to ship the specific order;
- does not copy them, pass them to others or use them for mailings or advertising;
- stores them securely and gives access to them only to those who pack the order;
- deletes the Buyer’s data no later than 30 days after delivery. The plant traceability records (3 years, Art. 69 of Regulation 2016/2031) do not prevent this: they state to whom the Seller passed the plant, which is ALTRIX OÜ and the order number, not the Buyer’s data;
- notifies ALTRIX of any data breach or loss of data within 24 hours;
- assists ALTRIX in responding to a Buyer’s request concerning their data.
- ALTRIX processes the Seller’s own data in accordance with the Privacy Policy.
- What data the seller sees. In the account the seller sees their products, orders for them, the data needed for shipping (section 12), payouts and documents. Overall sales data of the site, data on other sellers and buyers’ contact details are not available to the seller. ALTRIX keeps the seller’s sales data for accounting and reports (retention periods — in the Privacy Policy) and does not share it with other sellers. After the agreement ends, reports, self-billing invoices and the “Paid out” statement can be downloaded in the account for 12 months or obtained on request.
- If the seller ships with their own carrier, they may pass the delivery data to that carrier. ALTRIX authorises this in advance as engaging a sub-processor; the seller is responsible for the carrier. On ALTRIX’s request the seller provides information on how they protect the data.
13. Restriction, suspension and termination
- ALTRIX may unpublish Goods, restrict or suspend the account if the Seller breaches these terms or the Marketplace Rules, the law or PTA rules. ALTRIX states the reason in the Seller Account or by email and explains how to appeal the decision.
- The seller may at any time withdraw products from sale or close the shop in the account — products are hidden immediately. Closing the shop in the account is also notice of termination of the agreement: the agreement ends on the last day of the following month unless ALTRIX agrees to an earlier date. The seller must ship orders that have been paid for.
- The agreement is concluded for an indefinite term. Either party may terminate it by giving the other party at least 1 month’s notice, ending on the last day of a month (VÕS § 686 lg 1, applied via § 692 lg 3). The notice period for the Seller may not be shorter than for ALTRIX (§ 686 lg 2). ALTRIX states the reason for termination.
- Either party may terminate the agreement without notice for good cause. For ALTRIX this includes, for example: goods that are prohibited or dangerous to plant health, shipping plants without a passport, deceiving Buyers, bypassing the marketplace, repeated breaches after a warning, or a requirement of an authority. The reason is stated.
- After termination ALTRIX pays the amounts due after the 14-day holding period and after setting off refunds.
- The Seller may appeal an ALTRIX decision in the Seller Account or at info@allikasilm.ee. ALTRIX examines the complaint and replies within 14 days.
14. Ranking of goods on the site
- By default, goods in the catalogue are displayed in the order that ALLIKASILM sets manually (season, availability, selections); where the position is the same, by name. The Buyer may choose the sorting: by popularity, rating, newest or price. In search, the order depends on relevance to the query. “By popularity” means by the total number of sales of the product.
- There is no paid promotion. A Seller cannot pay for a higher position in the list. If paid positions are introduced in the future, they will be marked with the word “Advertisement” and the conditions will be published in advance.
- In addition to allikasilm.ee, ALTRIX may show the seller’s products in its own channels: in Google’s free listings (Google Merchant Center), in newsletters, on ALLIKASILM social media and in selections on the home page. No fee is charged for this, the commission stays the same. The seller can opt out of these channels by writing to info@allikasilm.ee.
- How our products differ from sellers’ products. ALTRIX also sells its own products on the site. Their listings are not reviewed, they can be shipped to Latvia, Lithuania and Finland, and they take part in the site’s general promotions. Sellers’ products are not included in general promotions without the seller’s consent (section 6). The order in the catalogue is the same for everyone (section 14.1).
15. Changes to the terms
- ALTRIX notifies changes to the terms by email and in the Seller Account at least 15 days before they take effect (as also required by Regulation (EU) 2019/1150, Art. 3(2)).
- If the Seller does not agree, it may terminate the agreement before the changes take effect.
- No notice period is needed if the change is required by law or by an authority.
- Changes do not apply retroactively.
16. Governing law, disputes and language
- The law of the Republic of Estonia applies.
- Disputes are resolved by negotiation and, failing that, in Tartu County Court (Tartu Maakohus).
- These terms are drawn up in Estonian. Translations into the other languages of the site (Russian, English, Finnish, Latvian, Lithuanian) are provided for convenience; in the event of any discrepancy, the Estonian text prevails.
